Founded in Lebanon in 1962, Bank Audi sal - Audi
Saradar Group is a regional Bank with a universal banking profile, covering
commercial, retail, private and investment banking activities, in addition
to “bancassurance”. Through a string of mergers and acquisitions, the latest
with the reputed Banque Saradar sal in 2004, and a dynamic expansionary
policy, Bank Audi sal now ranks among the top 2 banks in Lebanon according
to assets and customer deposits, and the 25 largest banking groups in the
Middle East.
Successive capital increases have significantly improved
capitalisation and provided resources for Bank Audi to continue
consolidating its market position. The latest of these operations took place
in April 2006, when the Bank closed a US$ 600 million capital increase,
raising its shareholders’ equity to US$ 1.7 billion, by far the largest in
Lebanon and accounting for 30% of the banking sector at large. Today, Bank
Audi sal - Audi Saradar Group is a leading Lebanese Bank with US$ 15.5
billion of consolidated assets, reaching US$ 21.2 billion when including
assets under management. Customers’ deposits totaled US$ 13.1 billion,
corresponding to a market share of 20.7% at end-June 2007. Bank Audi is
served by the largest on-line real-time network of branches in Lebanon.
Reputed for its innovation and the quality of its service, it is a major
player in the Lebanese retail banking market.
A few years ago, Bank
Audi engaged in a regional expansion strategy aimed at countries with
promising development perspectives, namely in Africa and the Middle East.
Besides Lebanon, it now has operations in France, Switzerland, Syria,
Jordan, Egypt, Sudan, as well as Saudi Arabia, Qatar, and Abu Dhabi
(representative office). The prospection for new high-potential regional
markets is also underway, with plausible perspectives in North Africa. |

At the close of 2003, Bank Audi sal – Audi Saradar Group obtained a banking
license to open a network of branches in the Hashemite Kingdom of Jordan. The
Bank’s presence in Jordan mainly hinges on the coverage of retail banking
activities with emphasis on commercial banking to support the retail business
and correspondent banking services supported by our European sister banks.
To that end, our branch network locations in Jordan are destined to build a
supportive commercial franchise along the retail emphasis. Bank Audi Jordan
branches are spread throughout Amman city, in Shmeissany (main branch), Le Royal
Hotel, Mecca Mall, Al Khalidy, Jabal Hussein, Sweifieh and Irbid. While the
Bank’s headquarters for Jordan are located in Le Royal Hotel in Amman ; Aqaba
and Zarka in addition to downtown Amman and the vicinity of Sweileh in Greater
Amman will be accommodating Bank Audi branches at a later stage. Retail banking
activities constituted the drive of Bank Audi’s development in Lebanon during
the last 5 years. Consequently, the Bank has begun exporting its
acquired expertise in products and infrastructure to our Jordanian

Bank Audi Syria sa |
On May 31, 2005, the Council of Ministers of the Syrian Arab Republic approved
the license application of Bank Audi and Partners to launch Bank Audi Syria.
Early August 2005 and following the Initial Public Offering (IPO) of Bank Audi
Syria sa., Syrian shareholders subscribed to the equivalent of SYP 6.177
billion, which represented a coverage of 988%, while the targeted amount to be
raised was SYP 625 million (25% of the Bank’s capital). This led to the
establishment of Bank Audi Syria, the largest start-up capital in the Syrian
banking sector, with a capital of SYP 2.5 billion. Aiming at offering its
clients “value-added” services, Bank Audi Syria is especially interested in
attracting companies in the industrial and retail sectors. The Bank’s
competitive advantages include its international network with offices in Beirut,
Amman, Paris and Switzerland, as well as its advanced technology and innovative
management. Bank Audi Syria’s headquarters and main branch are located in the
center of Damascus, Mohafaza building. The first branch to open was Mazzeh
Branch, followed by Mohafaza, then Abu Rummaneh in March 2006 and Aleppo in
April 2006. Branches in Lattakieh, Homs and Kafarsousseh are now opened
and operational while more locations in Damascus and major Syrian cities will
follow.

Bank Audi sae |
In March 2006, Bank Audi sal – Audi Saradar Group acquired Cairo Far East bank
sae, an Egyptian bank with a network of 3 Commercial branches and one Islamic
branch. The latter’s name was subsequently changed to Bank Audi sae, a fully
owned subsidiary of Bank Audi sal – Audi Saradar Group and its capital was
raised to USD 100,000,000 - one hundred million. Plans are currently underway to
expand the branch network to over 40 branches within the first 12 months of
operations.
Bank Audi sae’s action plan mainly hinges on the development of commercial and
correspondent banking activities, along with extensive retail activities based
on the Bank’s acquired expertise in the field.. An extensive retail network will
be rapidly deployed within a three-year period.
The acquisition of Cairo Far East Bank sae ensures a good platform to launch
Bank Audi’s activities in Egypt. Meant to become Audi Saradar Group’s second
largest entity outside Lebanon the Bank aims at achieving a 3% market share in
the coming five years, via different important partnerships.
The Bank’s financial philosophy is to increase the sales of its products and
services, to boost its operating margins and to manage its capital intensity
within very strict control procedures. This would ensure Bank Audi sae a better
immunity and help it provide the best banking services and products to
individuals and institutions.
Bank Audi sae aims at strengthening domestic franchise through the wide and fast
expansion of its branch network which would provide the widest range of high

National Bank of Sudan |

Towards integrating the Sudanese market as part of its regional expansion,
Bank Audi acquired the National Bank of Sudan (Al-Ahli) in September 2006,
introducing the first Islamic Banking entity to the Bank Audi sal – Audi Saradar
Group.

The Qatar Financial Center Regulatory Authority (QFCRA) has granted on the
21st of December 2006, an authorization to Bank Audi LLC (a fully owned
subsidiary to Bank Audi sal) to carry on Regulated Activities in the Qatar
Financial Center (QFC). Bank Audi LLC has a capital of US$ 50 million and
carries out the following activities as defined by the QFC: Deposit Taking,
Dealing in Investments, Arranging Deals in Investments, Providing Credit
Facilities, Arranging Credit Facilities, Providing Custody Services,
Arranging the Provision of Custody Services and Advising on
Investments.<br><br>The aim of Bank Audi through its presence in Qatar is to
benefit from Qatar’s rapid economic boom and that of the GCC region at large
and to ensure a strong positioning within the context of very promising
economic and financial prospects. This presence complements an already
existing investment company in Saudi Arabia: Audi Saudi Arabia. Bank Audi
had also been granted on the 26th of September 2006 an authorization of the
Central Bank of the United Arab Emirates for the opening of a representative
office in Abu Dhabi. |

Audi Saradar Investment Bank is the investment bank of Audi Saradar Group.
Resulting from the merger of three entities, Audi Investment Bank sal,
Lebanon Invest sal and Saradar Investment House sal, Audi Saradar Investment
House benefits from the status of a specialized bank conferred by virtue of
law 22/67. In addition to a set of particular activities set by this law
such as long-term deposits and financing, Audi Saradar Investment Bank is
active at the overall business of Investment Banking, mainly in financial
engineering, Mergers & Acquisitions, Market Activities, Corporate
Banking and OPA, and structured products among others.

On May 17 th, 2006, the Capital Market Authority (CMA) of the Kingdom of Saudi
Arabia approved the license application of Bank Audi sal to launch Audi Saudi
Arabia to provide a complete range of investment services. The new
entity, headquartered in Riyadh, offers Saudi corporate and individual clients
premium Corporate Finance, Wealth Management, Asset Management, Brokerage and
Private Equity services, matching best international practices with a regional
perspective. It intends to capitalise on the regionalisation trend, whilst
focusing on shareholders’ value, improving regulation, consolidation,
diversification and increasing liquidity characterising Saudi markets.
Audi Saudi Arabia is a joint venture between Audi Saradar Group (70%, among
which 10% are set aside for an employee stock ownership program) and Saudi
shareholders (30%), and is incorporated as a closed joint stock company.
Audi Saudi Arabia launched its activities in Fall 2006 and abides by the Group’s
